1. Introduction

This Agreement is entered into by and between Magical Coaching BV Inc., herein referred to as "the Company," and you, the participant, herein referred to as "the Client" or "You." By enrolling in, accessing, or purchasing the "10/10 Method with David Vox" program (hereinafter referred to as "the Program"), You acknowledge that You have read, understood, and agreed to be bound by the terms and conditions set forth in this document (the "Agreement"). This Agreement outlines the legal terms under which the Company offers You access to the Program and its associated content, resources, and services.

1.2 Program Overview

The "10/10 Method with David Vox" is an intensive training program designed to provide participants with the knowledge, skills, and strategies necessary to enhance their professional and personal growth. The Program includes, but is not limited to, digital resources, online courses, personal or group coaching sessions, workshops, training sessions, and access to private online forums managed by the Company. This Agreement governs Your participation in the Program and any related materials and services provided by the Company.

1.3 Legal Agreement

This document constitutes a legally binding agreement between You and the Company, effective from the moment of Your program enrollment or purchase. If You are entering into this Agreement on behalf of a business or entity, You represent that You have the authority to bind such entity to these terms. The Company reserves the right to update and change the Agreement from time to time without notice. Continued use of the Program after any such changes shall constitute Your consent to such changes.

3. Scope of the Agreement:

The Program is open for enrollment only to individuals who are at least 18 years of age at the time of registration. By agreeing to these Terms and Conditions, You represent and warrant that You meet this age requirement and that all registration information You submit is accurate and truthful.

3.1.2 Professional Standing

The Program is designed for individuals seeking to enhance their professional skills, particularly those involved in entrepreneurship, business management, and personal development sectors. While the Program is open to professionals from various fields, the content is tailored to meet the needs of these core groups.

3.1.3 Technical Requirements

It is the Participant's responsibility to ensure their hardware and software are compatible with the Program's technical requirements, as outlined on the Program's enrollment page.

  • Online Courses: Enrollment in a series of interactive online courses covering the Program's curriculum.

  • Workshops and Training Sessions: Invitations to live workshops and training sessions designed to provide practical skills and insights.

5. Participant Obligations

5.1 Participation Requirements

  • Digital Modules Completion: Engage with and complete all 10 digital modules. These modules are designed to sequentially build your understanding and skills necessary for crafting your 10/10 offer and enhancing your marketing strategies.

  • Weekly Live Coaching: Attend weekly live coaching sessions to gain insights, ask questions, and receive personalized feedback. Active participation in these sessions will significantly enhance your learning experience and program outcomes.

6. Payment Terms

  • Pay in Full: Participants may opt to pay the total program fee of $2,222 in one full payment. This payment is due at the time of enrollment.

  • 12-Month Payment Plan: Alternatively, participants may select a monthly payment plan, which divides the total cost into 12 monthly installments of $222 each. The first payment is due at the time of enrollment, with subsequent payments due on the same date of each following month.

  • Early Bird Offer: An early bird discount is available for participants who enroll before a specified date. This offer allows participants to pay a discounted total program fee of $1,010, or choose a 6-month payment plan at $222 per month.

6.2 Late Payment Consequences

  • Late Payment Fees: Late payments may incur a late fee of $25 for each missed or delayed payment. Participants will receive a notification of their overdue payment and will have a grace period of 5 business days to submit the payment before the late fee is applied.

  • Suspension of Program Access: If a payment is more than 10 business days overdue, access to the program materials, live coaching sessions, and other resources may be temporarily suspended until the overdue payment, including any late fees, is fully paid.

  • Reinstatement Fee: To reinstate access to the program after suspension due to late payment, participants may be required to pay a reinstatement fee of $50, in addition to settling all outstanding balances.

  • Program Enrollment Fee: Covers full access to all digital modules, live coaching sessions, downloadable resources, and private online forums. This fee also includes ongoing program updates and access to additional workshops or guest lectures that may be introduced during the participant's enrollment period.

  • Administrative Fees: Included in the total program cost are any administrative fees associated with maintaining participant records, processing payments, and providing customer support throughout the program duration.

  • Supplementary Materials: Participants will have the option to purchase supplementary materials or services, such as advanced coaching sessions or specialized workshops, for an additional fee. These optional services will be clearly outlined, including costs, in the program portal.

7. Refund Policy

  • Restriction on Early Requests: Requests for refunds will not be considered if submitted before the end of the program on June 19th.

Timeline for Refund Processing

  • Review Period: Refund requests submitted by June 26th will be reviewed within 7 business days from their receipt.

  • Issuance of Refunds: Approved refunds will be processed within 14 business days after the decision. The refund will be credited to the original payment method used at enrollment.

Payment Information and Schedule

  • Pay in Full Option: A one-time payment of $2,222 is required at enrollment.

  • 12-Month Payment Plan: Alternatively, a monthly payment option of $222 over 12 months, totaling $2,664.

  • Early Bird Offer: Participants who enroll early benefit from a discounted rate of $1,010, or an option for 6 monthly payments of $222, totaling $1,332.

This encompasses all intellectual property rights in the program materials, whether the materials are accessed online, downloaded, or otherwise provided to participants during the course of the program.

License to Use Program Materials

Upon enrollment in the "10/10 Method with David Vox," participants are granted a non-exclusive, non-transferable, revocable license to access and use the program materials solely for personal, non-commercial purposes. This license is conditional upon compliance with the terms of this Agreement, including payment obligations and the restrictions on use as outlined herein.

The license allows participants to:

  • Access program content through the provided platforms for the duration of their active enrollment.

  • Download or print materials for personal study and reference in connection with the participant's learning objectives within the program.

Prohibitions on Material Use

The following uses of the program materials are strictly prohibited and may result in immediate termination of access to the program, revocation of the license to use the materials, and potential legal action:

  • Distribution: Sharing, selling, renting, leasing, or otherwise distributing the program materials or any part thereof to any third party not enrolled in the program.

  • Public Display: Publicly displaying, presenting, or performing the program materials or any portion thereof in any form to individuals not enrolled in the program.

  • Modification: Modifying, translating, adapting, or creating derivative works based on the program materials without prior written consent from the Company.

  • Commercial Use: Utilizing the program materials for commercial purposes, including but not limited to offering training, workshops, or similar activities that compete with the program.

Participants are required to uphold the integrity and confidentiality of the program materials, recognizing that these materials are provided for their educational advancement within the specific context of the "10/10 Method with David Vox" program.

9. Confidentiality

Scope of Confidentiality

Confidential Information refers to all non-public materials, knowledge, and information provided during the course of the "10/10 Method with David Vox" program, including but not limited to, instructional content, participant data, business practices, strategies, and any communication within program forums or coaching sessions.

Participant's Confidentiality Obligations

Participants agree to:

  • Not Disclose: Avoid disclosing any Confidential Information obtained through the program to third parties without the express written consent of the Company.

  • Use Discretion: Use the Confidential Information solely for the purpose of participating in and benefiting from the program.

  • Protect Information: Take reasonable precautions to prevent accidental or unauthorized disclosure of Confidential Information.

  • Report Breaches: Immediately notify the Company if they become aware of any unauthorized use or disclosure of Confidential Information.

Company's Confidentiality Obligations

The Company commits to:

  • Safeguard Participant Information: Take appropriate measures to protect the confidentiality of personal information provided by participants during enrollment and participation in the program.

  • Limit Access: Ensure that access to Confidential Information is limited to employees or agents of the Company who need to know such information in connection with providing the program.

  • Non-Disclosure: Not disclose participant information to third parties except as required by law or with the participant's explicit consent.

Exceptions to Confidentiality

The obligations under this confidentiality section do not apply to information that:

  • Is or becomes publicly known through no breach of this agreement by the receiving party.

  • Is received from a third party without breach of any obligation of confidentiality.

  • Is independently developed by the receiving party without use of the disclosing party’s Confidential Information.

  • Is required to be disclosed by law, provided the disclosing party is given reasonable notice of the impending disclosure.

The Company does not guarantee that access to the program will be uninterrupted or error-free, that defects will be corrected, or that the program or the server that makes it available are free of viruses or other harmful components.

Specific Disclaimers Related to Program Outcomes

  • Individual Results May Vary: The Company makes no guarantees concerning the specific outcome or results you may achieve from participating in the program. Individual success depends on various factors, including but not limited to, your background, dedication, desire, and motivation.

  • Not a Substitute for Professional Advice: The content provided through the "10/10 Method with David Vox" is for educational and informational purposes only and is not intended as a substitute for professional advice from a qualified consultant or advisor in your jurisdiction. Participants are responsible for their own business decisions and should consider seeking professional advice for specific situations that require expert assistance.

Participation in the program requires work and discipline just like any worthwhile endeavor or professional continuing education program.

Participant’s Acknowledgment and Limitation of Company’s Liability

Participants acknowledge that the Company delivers the "10/10 Method with David Vox" program in good faith and with a commitment to providing high-quality content and support. The Company endeavors to use a reasonable level of skill and care in the execution and administration of the program.

Notwithstanding the above, participants agree that the Company, including its directors, employees, or agents, shall not be held liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if the Company has been advised of the possibility of such damages.

Furthermore, participants agree that any liability of the Company for any claim whatsoever related to the agreement, including any claim for indemnity or breach of warranty, and regardless of the form of action, whether in contract, tort (including negligence), or otherwise, shall be limited to and shall not exceed the total amount paid by the participant to the Company for the program.

Participants understand and agree that the Company provides the program "as is" and disclaims all warranties, express or implied, to the extent permitted by law. This includes any warranty of fitness for a particular purpose or non-infringement. Participants accept and agree that their use of the program and its content is at their sole risk.

By enrolling in the "10/10 Method with David Vox," participants explicitly acknowledge and agree to this limitation of liability, recognizing it as a key element of the agreement between them and the Company. This limitation of liability is intended to apply to the fullest extent permitted by law and shall survive any termination or expiration of this agreement or the participant’s use of the program.

12. Dispute Resolution

Governing Law

This Agreement and any disputes or claims arising out of or in connection with it, its subject matter, or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Netherlands. The parties agree that the courts of Amsterdam, Netherlands, will have exclusive jurisdiction to settle any disputes or claims.

Dispute Resolution Process

  • Informal Negotiation: To promote a swift and amicable resolution, the Company and the Participant shall first attempt to resolve any dispute arising out of or related to this Agreement through informal negotiation. Both parties agree to communicate openly and in good faith, with the aim of reaching a mutually acceptable solution.

  • Mediation: If the dispute cannot be resolved through informal negotiation within a period of [30 days], the parties agree to proceed to mediation before resorting to arbitration or litigation. The mediation process will be conducted in Amsterdam, Netherlands, by a mutually agreed upon mediator, in accordance with the rules of the Dutch Mediation Federation (MfN).

Arbitration Agreement

  • Mandatory Arbitration: In the event that a dispute cannot be settled through informal negotiation or mediation, the parties agree that the dispute shall be resolved by binding arbitration, to be conducted in Amsterdam, Netherlands. The arbitration shall be conducted in English, and the arbitration process shall be governed by the Netherlands Arbitration Institute (NAI).

  • Arbitrator Appointment: A single arbitrator will be appointed in accordance with the rules of the NAI. The arbitrator’s decision shall be final and binding upon both parties, and the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

  • Costs: Each party shall bear its own costs related to the arbitration proceedings, and the costs of arbitration (including the arbitrator’s fees) shall be shared equally between the parties, unless the arbitrator decides that the costs should be allocated differently based on the circumstances of the dispute.

  • Limitation on Arbitration: The parties agree that any arbitration under this Agreement shall be limited to the dispute between the Company and the Participant individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

13. Amendments to the Agreement

Process for Amendments

The Company reserves the right to amend the Terms and Conditions of the "10/10 Method with David Vox" at its discretion to accommodate changes in legal requirements, enhancements to the program, or adjustments deemed necessary for operational efficiency. Amendments are made with careful consideration to maintain the integrity and objectives of the program.

Notification Requirements

  • Participant Responsibility: It is the responsibility of participants to regularly review the Terms and Conditions of the program to stay informed of any changes. The latest version of the Agreement will always be available on the program’s official website.

  • Applicability to New Clients: Any amendments to this Agreement will primarily apply to new clients enrolling in the program after the changes have been made. Existing participants will be bound by the Terms and Conditions in effect at the time of their enrollment unless specifically stated otherwise in the amendment.

  • Request for Previous Versions: Participants wishing to review changes made to the Terms and Conditions over time may request previous copies by contacting the program’s support team. The Company will provide the requested information as deemed appropriate.

Acknowledgement of Changes

By continuing their participation in the program, participants acknowledge and agree to any amendments made to the Terms and Conditions since their enrollment date. Participants who do not accept any changes to the Terms and Conditions have the option to withdraw from the program in accordance with the stipulations outlined in the Refund Policy.

14. Termination

Termination Rights of Both Parties

  • By the Company: The Company reserves the right to terminate a participant's access to the program for any breach of these Terms and Conditions, including but not limited to non-payment of fees, unauthorized sharing of program materials, or behavior that is disruptive to the program or its participants. Termination for cause shall be effective immediately upon written notice to the participant.

  • By the Participant: Participants have the right to terminate their participation in the program at any time. If a participant decides to terminate their enrollment, they must provide written notice to the Company.

Effects of Termination

  • Access Revocation: Upon termination, the participant's access to the program and all related materials, including digital content and online forums, will be revoked.

  • Refund Eligibility: If the termination is initiated by the participant within the refund eligibility period as outlined in the Refund Policy, the participant may be entitled to a refund according to the terms specified in that section.

Obligations Upon Termination

  • Outstanding Fees: Participants are required to pay any outstanding fees owed to the Company at the time of termination. If termination occurs before the completion of the program's payment plan, the participant remains obligated to fulfill any remaining payments as agreed upon at the time of enrollment, unless otherwise stated in the Refund Policy.

  • Confidentiality: Both parties agree to maintain the confidentiality of any proprietary information shared during the program, in accordance with the Confidentiality section of these Terms and Conditions, even after termination.

  • Return of Materials: Participants must cease the use of and delete or return any program materials, including copies, in their possession at the time of termination.

  • No Further Obligations: Upon fulfilling the above obligations, neither party shall have any further obligations to the other except as expressly provided in these Terms and Conditions.

15. Miscellaneous

Entire Agreement Clause

This Agreement constitutes the entire agreement between the Participant and Magical Coaching BV Inc. regarding the "10/10 Method with David Vox" program and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the program. No amendment to or modification of this Agreement is effective unless it is in writing and signed by both parties.

Assignment Restrictions

The Participant may not assign or transfer any rights or obligations under this Agreement, by operation of law or otherwise, without the prior written consent of the Company. Any attempt by the Participant to assign or transfer rights or obligations without such consent will be null and void. The Company may assign its rights and obligations under this Agreement at its sole discretion to any other party.

Waiver and Severability

  • Waiver: The failure of the Company to enforce any right or provision of these Terms and Conditions will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of the Company.

  • Severability: If any provision of these Terms and Conditions is for any reason held to be invalid, illegal, or unenforceable in any respect, such provision will be modified to reflect the parties' intention or eliminated to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.

Final Provisions

This Agreement is binding upon and shall inure to the benefit of the parties hereto and their respective successors and permitted assigns. Nothing in this Agreement, express or implied, is intended to or shall confer upon any third party any rights, benefits, or remedies of any nature whatsoever under or by reason of this Agreement.
